1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Talonoid Technologies Private Limited ("Company," "we," "us," or "our") governing your access to and use of our business plan generation platform, including our website at talonoid.com, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

To use our Service, you must:

• • Have the legal capacity to enter into a binding agreement
• • Not be prohibited from using the Service under applicable law
• • Provide accurate and complete registration information
• • Maintain the security of your account credentials

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

Talonoid provides a business plan generation platform that:

• • Generates business plans based on user-provided information
• • Integrates federal economic data from authoritative sources (US Census Bureau, BLS, IRS, SBA)
• • Provides industry-specific frameworks and templates
• • Offers export functionality in PDF and DOCX formats
• • Enables sharing of business plans via unique links

PlanCoins: Our virtual currency system allows you to generate and export business plans. PlanCoins are non-transferable, have no cash value, and cannot be exchanged for cash. Unused PlanCoins expire upon account termination.

4. User Accounts

4.1 Account Creation

You may create an account using your email address or Apple Sign-In. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4.2 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, including for violation of these Terms. You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

5. Payment Terms

5.1 Pricing

PlanCoin prices are displayed on our website and may be updated from time to time. Prices are exclusive of applicable taxes, which will be added at checkout based on your location. All payments are processed securely through Razorpay.

5.2 Payment Authorization

By making a purchase, you authorize us to charge your selected payment method for the total amount, including applicable taxes. You represent that you are authorized to use the payment method.

5.3 Refund Policy

Due to the digital nature of PlanCoins, all purchases are final and non-refundable, except as required by applicable law. If you experience technical issues with a purchase, please contact our support team within 7 days for assistance.

5.4 Regional Pricing & Taxes

Prices may vary by region. Applicable taxes (including VAT, GST, HST, and sales tax) are calculated based on your billing address and added at checkout. For users in India, GST will be applied as per applicable rates. For EU users, VAT is included in the displayed price where required.

6. Intellectual Property

6.1 Our Property

The Service, including all content, features, functionality, and underlying technology, is owned by Talonoid Technologies Private Limited and is protected by intellectual property laws. "Talonoid" and associated logos are registered trademarks of Talonoid Technologies Private Limited.

6.2 Your Content

You retain ownership of the business information and content you provide to the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service. You represent that you have all necessary rights to the content you submit.

6.3 Generated Plans

Business plans generated using our Service are provided for your personal or business use. You may use, modify, and distribute generated plans as you see fit. The underlying templates, frameworks, and federal data remain our property or the property of the respective data providers.

You agree not to use the Service to:

• • Infringe intellectual property rights of others
• • Submit false, misleading, or fraudulent information
• • Generate content for illegal purposes
• • Attempt to reverse engineer or extract our proprietary algorithms
• • Interfere with or disrupt the Service or servers

• • Share your account credentials with others
• • Engage in any activity that could damage our reputation

8.1 No Financial Advice

The Service provides business plan templates and data integration for informational purposes only. We do not provide financial, legal, or professional advice. Business plans generated should not be relied upon as the sole basis for investment, lending, or other financial decisions. Consult qualified professionals for specific advice.

8.2 Data Accuracy

While we integrate data from authoritative federal sources, we cannot guarantee the accuracy, completeness, or timeliness of such data. Economic projections and forecasts are estimates based on available data and assumptions, and actual results may vary significantly.

8.3 Service Availability

We do not guarantee uninterrupted access to the Service. We may experience downtime due to maintenance, updates, or factors beyond our control. We are not liable for any losses resulting from Service unavailability.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALONOID TECHNOLOGIES PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.5 Indemnification

You agree to indemnify and hold harmless Talonoid Technologies Private Limited and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

9.2 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware. You waive your right to a jury trial and class action.

9.3 Exceptions

You may bring claims in small claims court if they qualify. We will not enforce the arbitration requirement for claims in small claims court. Nothing in these Terms prevents either party from seeking injunctive relief in court for intellectual property infringement or breach of confidentiality.

9.4 Regional Consumer Rights

If you are a consumer in the European Union, Australia, New Zealand, or other jurisdiction with mandatory consumer protection laws, nothing in these Terms limits your statutory rights. For EU consumers, you may bring claims in your local courts.

10. Additional Terms

10.1 Third-Party Services

Our Service integrates with third-party services (Apple Sign-In, Razorpay, federal data APIs). Your use of these services is subject to their respective terms and privacy policies.

10.2 Modifications

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of the Service after such changes constitutes acceptance of the modified Terms.

10.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

10.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Talonoid Technologies Private Limited regarding the Service.
